Key insights from the Pharma and Healthcare Dealtracker Q3 2026

Q3 2026 marks the highest quarterly volumes ever with 87 deals valued at USD 4.3 billion, up 34% QoQ and 23% YoY. The lower value versus Q2 2026 was largely due to the USD 11.8 billion Sun Pharma–Organon deal rather than a slowdown. Deal activity broadened during the quarter, while values remained concentrated in a few large transactions.

M&A volumes rose 6% QoQ to 37 deals valued USD 500 million, with domestic transactions accounting for 73% of the deals. The average ticket size fell to USD 13.5 million from about USD 42 million in Q2 2026, excluding the Sun Pharma–Organon deal, reflecting consolidation through smaller, capability-led acquisitions.

PE/VA activity strengthened meaningfully, with 44 investments worth USD 2.3 billion, representing the second-highest PE/VC deal volume since Q2 2022 and the strongest quarter by value since Q3 2024. Value growth was driven by one deal valued at over USD 1 billion and two deals valued above USD 100 million. The top five deals alone accounted for 88% of the value.

The strongest IPO value quarter in the series with 4 issues raising USD 1.3 billion, exceeding the combined proceeds of USD 76 million raised during H1 2026. However, Manipal Health Enterprises accounted for 77% of IPO proceeds, indicating improved access for scaled issuers rather than a broad reopening. Fundraising via the QIP route remains similar to Q2 with 2 deals worth USD 162 million.

India’s pharma and healthcare deal activity reflects two parallel priorities: scaling healthcare delivery and building specialised capabilities across the life sciences value chain. Large private capital investments in hospitals highlight the continued appeal of established healthcare platforms, while acquisitions in pharma and biotechnology are increasingly focused on brands, intellectual property and manufacturing capabilities. The rise in diagnostics activity also points to the importance of expanding access and strengthening regional networks. As healthcare needs evolve, businesses that combine scale with specialised capabilities will remain important to the sector’s growth.
